Probably because it uses an AC3 audio stream. There is no AC3 ACM decoder.

You could convert/downmix with BeSweet to mp2, encode only the video with TMPGEnc and then multiplex the two streams.

Well, I am pretty new to multimedia and only around 2 weeks new to AVI so share any experience but some information I have learned.

Just few days ago I have had problem with an AVI format with Audio problem and asked for help here, few folks suggested me to give VirtualDub a try which I did but it didn't help. Later I learned there is another version or package of VirtualDub called VirtualDub-MPEG2-AC3 which supports AC3 and will solve the audio problem.

You can save an AC3 from an AVI with regular VirtualDub, it will just have a wav header.

VirtualDubMod also supports AC3 and MPEG2, along with lots of other features.
