shut down- rundll32.dll error ?

when i use shut down in xp pro just as its going to shut down a popup says
end programe - run32.dll.exe pops up

What kind of apps do U have running in the systray, have U tried closing them one by one & rebooting to find the culprit

Some service just refuses to shutdown... cannot know which one, can you attach a recent Dr.Watson log?
