.ax open problem

Whenever I try to install a codec I get this error

error opening file for wrighting:

"C:\Windows\System32\ffdshow.ax"

I also get the same error messege whenever I try to install any audio/video-xvid/divx codec
what do I do to resolve this problem?

I guess boot into safe mode and delete the file... weird though because I don't think ffdshow has evern installed to system32 for me, always installs to program files.
Also weird that it would effect say installing XviD, as all that needs to do is register xvid.ax, copy xvidvfw.dll, xvidcore.dll and add a vidc entry.
