does anybody know if there is any kind of software that will take say a 320 bitrate mp3 and convert it to a lower bitrate like 256 or 192???

Yup, definitely Lame. I'd never used it until a few weeks ago, but it came as part of Easy CD-DA extractor. One of the most handy little utils I've used in a long while....
Sure beats the days of encoding mp3s at the DOsPrompt with l3enc....
